STANDARD TERMS AND CONDITIONS OF SALE
These Standard Terms and Conditions of Sale (“Terms and Conditions”) apply to all quotations, offers, sales, and deliveries of products and/or services by Creative Woodwork (“the Company”) to the Customer, unless expressly agreed otherwise in writing and signed by both parties.
- 1. Precedence of Terms
- The Customer expressly waives the application of its own terms and conditions, even if drawn up after these Terms and Conditions. Any deviation or amendment shall only be valid if expressly agreed in writing and signed by both parties. These Terms shall prevail in the event of conflict.
- 2. Orders and Payments
All orders must be confirmed in writing by the Customer.
A 60% deposit is required to confirm any order.
A further 30% payment is required prior to delivery.
The remaining 10% balance is payable on the day of delivery.
All payments must be made to the Company’s designated bank account or other approved payment method.
Failure to make payments as per the above schedule entitles the Company to suspend or cancel the order without liability.
The Company will make every reasonable effort to meet agreed timelines.
Delivery and installation dates are estimates only and not binding.
The Company shall not be held liable for delays due to circumstances beyond its control, including but not limited to supply chain issues, transportation delays, force majeure, or changes requested by the Customer.
Any modification to the original order may affect the delivery timeline and pricing.
The Company’s obligation is limited to providing professional products and services in accordance with the agreed specifications.
The Company does not guarantee any specific result beyond what is contractually stated.
Under no circumstances shall the Company be liable for indirect, incidental, or consequential damages, including loss of profit or business interruption.
The Company shall not be required by the Customer to appear as a third party in any claim for damages filed by an end consumer.
The Customer must inspect the goods and/or services upon delivery.
Any claims regarding visible defects, shortages, or non-compliance must be made in writing by registered letter to the Company’s registered office within 8 days of delivery.
If no claim is made within this period, the delivery shall be deemed accepted.
All goods remain the property of the Company until full payment is received.
In the event of non-payment, the Company reserves the right to repossess the goods without prior notice.
Any order cancellation by the Customer after confirmation will result in the forfeiture of the 60% deposit.
Postponements must be communicated in writing and may be subject to additional storage or rescheduling fees.
The Company reserves the right to cancel or reschedule projects if the Customer fails to comply with payment or site preparation requirements.
The Company provides a [insert duration, e.g., 12-month] limited warranty covering manufacturing defects under normal use.
The warranty excludes damage resulting from misuse, improper installation by third parties, unauthorized modifications, or normal wear and tear.
Any warranty claim must be submitted in writing with proof of purchase.
- By confirming an order with Creative Woodwork, the Customer acknowledges having read, understood, and agreed to these Terms and Conditions of Sale.
3. Taxes and Withholding
Certain jurisdictions apply withholding at source on the amount of invoices in accordance with their legislation. Any withholding at source will be paid by the Customer to the relevant tax authorities. Under no circumstances shall the Company be liable for costs related to the Customer’s local tax legislation. The full invoice amount remains due to the Company.

All contractual relations shall be governed exclusively by the laws of Mauritius. Any dispute arising from these Terms and Conditions shall fall under the exclusive jurisdiction of the competent courts of Mauritius.
11. Entire Agreement
These Terms and Conditions, together with any written quotation or contract, constitute the entire agreement between the parties and supersede any prior discussions or agreements.
